Terms and Conditions

General Terms and Conditions for Web Design, Development, Hosting, and Digital Services by KumuWeb.

§ 1 Scope & General Provisions

These General Terms and Conditions (GTC) apply to all contracts concluded between KumuWeb, Marcus Scheffel (hereinafter referred to as the "Service Provider"), and the client (hereinafter referred to as the "Client") regarding web design, development, hosting, AI assistant integration, and related digital services.

Deviating, conflicting, or supplementary client terms shall not become part of the contract unless explicitly agreed upon in writing.

§ 2 Pricing & Payment Terms

All prices quoted on the website and in individual offers are final prices. Pursuant to § 19 UStG (German Small Business Regulation / Kleinunternehmerregelung), no value-added tax (VAT) is charged or shown.

Payments for one-time project setup costs and recurring fees (e.g., hosting, care plans, AI assistant) are due as specified in the respective invoice, strictly without deductions, within 14 days of the invoice date.

§ 3 Scope of Services & Client Cooperation

The exact scope of services is defined in the individual project agreement, quote, or order confirmation. Unless otherwise agreed, text translations and raw content (texts, logos, images) are to be supplied by the Client.

The Client is obligated to provide all necessary materials, access credentials, and feedback in a timely manner. Delays caused by missing client input will extend project timelines accordingly.

§ 4 Revisions & Project Handover

The project scope includes the agreed-upon revision rounds (typically specified in the project details). Further modifications, extensive redesigns, or structural changes requested after approval will be billed based on time and effort.

Upon completion and final payment, the website will be launched and handed over to the Client, including an optional onboarding session for content updates.

§ 5 Hosting, Technical Care & Maintenance

If a hosting or care plan (Standard, Care, or Full Care) is booked, the Service Provider ensures high-performance web hosting, security monitoring, automated core updates, and regular backups.

The Service Provider is not liable for downtimes, server outages, or data loss caused by third-party infrastructure providers, force majeure, or unauthorized modifications made by the Client or third parties.

§ 6 AI Chat Assistant Integration

If the optional AI Chat Assistant is integrated, it operates based on provided business data and third-party AI APIs. The Service Provider does not guarantee 100% accuracy of AI-generated responses and assumes no liability for misunderstandings, incorrect automated lead qualifications, or data transmitted through the chat interface by users.

§ 7 License & Intellectual Property

All delivered designs, source code, and technical setups remain the intellectual property of the Service Provider until full payment has been received. Upon full payment, the Client receives a non-exclusive, permanent license to use the website for their own business purposes.

§ 8 Limitation of Liability

The Service Provider is liable for intent and gross negligence. For slight negligence, liability is limited to foreseeable contract-typical damages, except in cases of injury to life, body, or health. The Service Provider assumes no responsibility for legal compliance of website contents, imprint, or privacy policies (legal texts are provided by the Client or external legal advisors).
